Your Executive Bonus Goals Will Be Set After You Start: What Should You Resolve First?

If an executive offer leaves bonus goals to be agreed after hiring, resolve the process, measurement rules and consequences of disagreement before relying on the target amount. The same goals may also determine whether later equity is granted or vested.

Establish what is promised before you start

A target bonus percentage identifies an opportunity, but may not establish the amount earned, the required performance or the payment obligation. If the offer says targets will be mutually agreed later, read what happens if agreement is delayed or never reached. Do not assume the target becomes guaranteed by default.

Obtain the incentive plan, definitions, exhibits and approval requirements. Compare the offer with provisions allowing the employer to modify or discontinue the plan. Ask which document controls if they conflict and which commitments require board or compensation-committee approval.

Define the baseline and the calculation

A workable scorecard identifies the measurement period, data source, baseline, threshold, target, maximum and weight for each metric. For EBITDA or budget-based goals, determine which accounting definitions and adjustments apply and whether acquisitions, divestitures, capital spending or extraordinary costs change the calculation.

  • What improvement is already included in the operating plan?
  • Are savings credited when identified, implemented, booked or sustained?
  • How are shared initiatives and changes outside the executive’s authority treated?
  • Who supplies the data, certifies the results and resolves disagreements?
  • Can metrics change during the performance year, and with what consent?
  • If the role starts midyear, how are the performance period and bonus prorated?

Invented example: A company’s approved budget already includes $4 million of annual savings. The new executive’s bonus counts only additional savings. Delivering the budgeted $4 million may produce no credited improvement under that metric. Identify the baseline and incremental-credit rules before assigning value to the target bonus.

Resolve disagreement and delay in writing

Possible negotiating points include a signed initial scorecard, a defined process and deadline for adjustments, an agreed first-year minimum or a specified alternative formula if targets are not approved on time. These are proposed contractual protections, not benefits the executive automatically receives.

Use a schedule that identifies the responsible decision-maker, required approvals and method for recording agreement. Avoid relying on an informal promise that the parties will work it out after relocation or resignation. The executive offer-review checklist connects the bonus review with the rest of the package.

Check whether the same goals also gate equity

A single performance score may control both cash compensation and later equity grants. Missing an undefined or disputed target can therefore affect more than one component. Determine whether the equity is already granted subject to vesting or whether performance merely creates eligibility for a future grant.

Read the equity plan and award independently. Confirm how an early sale, changed role or termination affects an incomplete measurement period. A bonus exception does not necessarily preserve the equity. See profits interests and management equity and management equity after termination.

Separate performance achievement from payment conditions

Review the certification date, payment deadline, active-employment requirement and treatment of resignation or notice of termination. Determine what happens to an otherwise earned bonus if employment ends without cause or the executive leaves for good reason.

Applicable wage law can limit contractual forfeiture. For covered Colorado employees, the Department of Labor and Employment’s INFO #3D on commissions and bonuses addresses whether compensation is earned, vested and determinable. Valid conditions established in advance and an attempt to forfeit already-earned wages require different analysis. Coverage, location, facts and governing law matter; an executive role outside Colorado may require another state’s analysis.

Our bonus-agreement guide addresses earning, vesting and payment in more detail. For deferred arrangements, the payment schedule and actual administration may require Section 409A review; the federal regulation includes the short-term-deferral framework and its conditions.

Preserve a complete performance record

Keep the signed plan and scorecard, baseline reports, approved changes, calculations, certification communications and payment records. Compare the final documents with the offer and retain written confirmation of any first-year arrangement. A factual record can be important when the parties later disagree about the measurement or payment conditions.

Common questions

Is a target bonus guaranteed?

Not simply because the offer states a target percentage. The plan, performance conditions, discretion, payment terms and applicable law determine the obligation.

Can the employer change goals after I start?

Review the reserved amendment power and any consent requirement. Whether a particular change is effective or can affect earned compensation requires the agreement, facts and applicable law.

Does meeting the bonus target guarantee my equity grant?

Only if the controlling equity terms provide that result. Approval requirements, grant conditions, vesting and continued-employment provisions may differ from the cash-bonus plan.
