Consultation Agreement

COLORADO LEGAL
TAX ATTORNEY CONSULTATION AGREEMENT
Version 2.0 — July 29, 2026

1. Welcome
Thank you for choosing Colorado Legal. This Agreement describes the terms of your Tax Attorney Consultation with Philip M. Falco, Attorney & CPA.

2. Limited Scope
This Agreement creates a limited-scope attorney-client relationship solely for the Tax Attorney Consultation described here. Unless both you and the Firm sign a separate written engagement agreement, the Firm will not provide continuing representation after completion of the consultation.

3. Attorney Time
Your consultation includes up to one hour of attorney time. This time may be devoted to reviewing your questionnaire, reviewing uploaded documents, legal analysis, preparing for the consultation, conducting the telephone consultation, or a combination of these activities, as determined by the attorney in the exercise of professional judgment. A substantial portion may be used for document review and preparation, leaving less time for the telephone call.

4. Included Services
Review of the completed questionnaire; review of documents uploaded before the consultation; identification and analysis of legal and tax issues; preparation; telephone consultation; and oral legal advice.

5. Excluded Services
Unless separately agreed in writing, the consultation does not include tax-return preparation or filing; drafting legal documents or IRS forms; contacting or negotiating with the IRS or another taxing authority; representation before an agency or court; Tax Court; litigation; appeals; hearings; mediation; arbitration; testimony as a fact witness; expert-witness services or testimony; deadline monitoring; or ongoing representation.

6. Fee
The flat fee is $500 for the limited services described above and up to one hour of attorney time. Fees are earned as legal services and benefits are provided. Any unearned amount will be handled in accordance with applicable professional obligations.

7. Client Responsibilities
You agree to provide complete and accurate information, disclose material facts, upload relevant documents you are authorized to provide, attend on time, and remain responsible for all deadlines unless a later written engagement expressly provides otherwise.

8. Scheduling, Rescheduling, and Missed Appointments
The consultation is by telephone. Reasonable advance notice is requested for rescheduling. Fee treatment for cancellation, late arrival, or a missed appointment will depend on attorney work already performed, time reserved, and applicable professional obligations; this Agreement does not make any fee nonrefundable merely by label.

9. No Guarantee
No outcome is guaranteed. Advice depends on the information available during the limited engagement.

10. Future Representation
Neither party is obligated to continue after the consultation. Additional work requires a separate written engagement agreement accepted by the Firm.

11. Electronic Communications, Signature, and Records
You consent to reasonable electronic communications and agree that electronic acceptance has the same effect as a handwritten signature. The Firm may retain the agreement version, timestamp, IP address, browser information, matter number, and a PDF copy.

12. Confidentiality and Technology
The Firm will handle information according to professional confidentiality obligations and will use reasonable safeguards. No electronic system can be guaranteed completely secure. Sensitive documents should be uploaded through the designated secure upload page rather than ordinary email.

13. File Retention
The Firm may maintain an electronic file and may later destroy it under the Firm's then-current retention policy, subject to law and professional obligations. You should retain copies of important documents.

14. Entire Agreement and Colorado Law
This is the complete agreement for this consultation and is governed by Colorado law and applicable professional rules.

15. Acknowledgment
By electronically signing, you confirm that you have read and understand the limited scope, included and excluded services, attorney-time allocation, fee, and responsibilities stated above.
